The JPMorgan Chase Legal Department is responsible for providing comprehensive legal services to the Firm and is organized by practice groups that generally align with the Firm’s lines of business and corporate staff areas. We are currently hiring a Vice President, Assistant General Counsel in the Corporate & Investment Bank (CIB) – Banking, Capital Markets & Research group. The position will include responsibility for providing advisory support for the CIB Equity Capital Markets, Debt Capital Markets, and Global Research businesses. This position is located in the CIB Legal Department in New York (mid-town).

Responsibilities will include drafting, negotiating and advising on the full range of documentation relating to Capital Markets transactions (including underwriting documentation, private placement and confidentiality agreements). The role will also include providing advice to the Equity/Debt Capital Markets for both North America and Latin America on a wide variety of related legal, conflicts, investment research and litigation risk mitigation issues. You will also work closely with a senior Research attorney in supporting Research Compliance, Global Research business management, partners in other functional areas and regions and supervisory analysts on a wide range of matters relating to regulatory risks and developments, new regulatory implementation, data use and contracting matters, and new business initiatives. You will work both independently and with colleagues across the Firm’s global Legal Department and you will manage, and supervise, external counsel engaged in related assignments.   • 5+ years of post-JD practicing experience, including extensive Capital Markets transactional background, contract drafting and negotiation work. Prior experience working for or representing a full service investment bank (on Capital Markets or other transactional assignments). Interest in Latin American and other cross-border securities offerings is a plus.

  • Other relevant experience (helpful but not required): familiarity with investment research matters and FINRA regulations, SEC reporting and corporate governance matters

  • Solid knowledge of the U.S. securities laws applicable to public and private offerings of securities. Extensive experience with SEC-registered and Rule 144A offerings for equity, equity-linked, high yield and high grade issuers.

  • Experience with drafting and reviewing prospectuses/offering memoranda, underwriting agreements and indentures.

  • Familiarity with securities counsel opinions, comfort letters and relevant accounting issues.

  • Attorney must be licensed to practice law and a member in good standing in NY or otherwise in compliance with the in-house counsel registration rules of NY.

  • Excellent drafting skills, strong attention to detail.

  • Polished verbal and written communication skills; ability to effectively communicate complex legal issues to senior managers or executives; strong interpersonal skills.

  • Ability to work independently on transactions and projects.

  • Team player, confident and proactive.
