JPMorgan Chase Custody & Fund Services - Head of Depositary Receipt (DR) Transactions - Executive Director in Newark, Delaware

The Depositary Receipt (DR) Group's Transaction Team functions as a strategic advisor and implementation agent in executing standard, unique and complex corporate actions for the portfolio of JPM DR programs. Central to the team's role is its ability to coordinate with issuer and third-party advisors such as investment banks and law firms so transaction objectives are executed to meet exacting legal, regulatory, exchange and stock clearing agency requirements.

There are two primary responsibilities with this role: Lead the DR Transactions Team and serve as a key LOB liaison with Technology to drive initiatives. Primary responsibilities include:

  • Lead the DR Transactions team to ensure timely and accurate execution of DR transactions, a strong and improving control environment, and meaningful development team members' capabilities. Team is currently based in Newark DE and London UK

  • Ensure team provides timely, accurate and proper communications and notices to the DR broker and investor constituencies (e.g., published notices, announcements; information centers for institutional and retail holders).

  • Work with Relationship Managers and DR issuers to recommend/advise optimal structures for corporate actions (small and large)

  • Serve as the JPM DR SME point of contact for issuers and their advisors on range of capital market, listing and regulatory matters relating to DR program organization, launch, and on-going equity and capital structure enhancement.

  • Ensure proper coordination of Corporate Action implementation with issuer's internal and external legal counsel, stock exchanges, regulatory agencies, proxy solicitation firms, clearing agencies (e.g., Depository Trust Company, Euroclear, Clearstream) and other advisor parties.

  • Ensure appropriate fees are identified for transactions and escalate opportunities in a timely and clear manner. Properly manage exception approvals for these charges.

  • Day to day escalations through internal and external partners. As challenges surface help open doors for the team. Escalate issues through internal/external Legal, Tech, OPS, Risk, Compliance and External parties (TA, CSDs, Exchanges, Custodians)

  • Provide LOB guidance to DR Technology partners regarding application requirements across the project life cycle (opportunity definition, requirements definition and documentation, test planning/design, test execution, etc.)Understand testing requirements and align resources and test plans to ensure robust testing prior to implementation

  • Be an active member of the Client Services Management Team by providing leadership and sharing experience with the global team.


  • Strong working knowledge of the securities industry, with Depositary Receipt expertise strongly valued

  • Robust understanding of corporate actions and how they are processed from the perspective of market participants (e.g., investors, depositories, clearinghouses, etc.)Leadership abilities in a global product environment

  • Team management experience with successful development of team culture and skill acquisition

  • Ability to work independently while successfully engaging as a member of the DR Client Services Management Team
